HITT TEKENT INTENTIEVERKLARING VOOR DEELNEMING IN KLEIN SYSTEMS GROUP LTD.,
CANADA
HITT heeft een intentieverklaring getekend om een 40%-belang te verwerven in
Klein Systems Group Ltd, Vancouver, Canada. Binnen deze overeenkomst heeft
HITT de optie om binnen drie tot zes jaar de overige aandelen te verwerven.
De acquisitie past in de strategie van HITT om zijn leidende positie in
geavanceerde technologie te versterken, om te groeien op de wereldmarkt door
samenwerking met sterke partners en om te expanderen in de richting van
logistieke en managementsystemen voor de scheepvaart en het luchtverkeer.
Klein Systems Group Ltd. (KSG) ontwerpt en ontwikkelt sofware ten behoeve
van belangrijke sectoren in de scheepvaart. Systemen van KSG zijn geleverd
aan vooraanstaande havenautoriteiten, loodsorganisaties en
sleepbootbedrijven. KSG heeft een uitstekende reputatie opgebouwd met zijn
kennis van regelgeving en bedrijfsvoering in deze sector en dankzij de
kwaliteit van zijn producten en dienstverlening in Canada, de Verenigde
Staten, het Caribische gebied en Hawaï. De onderneming is gespecialiseerd in
automatisering van bedrijfsprocessen en naadloze integratie daarvan in
financiële administratie. De aanpak van KSG - vanaf het operationele proces
via de facturering van diensten naar automatisering van financiële
administratie - is succesvol gebleken en heeft tevreden klanten opgeleverd.
De systemen van KSG stellen gebruikers in staat om een volledig beheer van
middelen te bewerkstelligen alsmede hun transacties te volgen en geleverde
diensten onmiddellijk te factureren, waardoor de tijd tussen dienst en
factuur enorm wordt versneld.
HITT levert software-dominante systemen voor de verkeersbegeleiding en
navigatie van lucht- en scheepvaart. Aankomst en vertrekplanning alsmede
gate- of ligplaatstoewijzing zijn slechts een paar activiteiten die baat
hebben bij een nauwkeurige en actuele positiebepaling van (lucht)vaartuigen.
Door de combinatie van deze systemen met de modules van KSG op het gebied
van kritische resources- en bedrijfsprocesautomatisering, hebben HITT en KSG
een unieke propositie op de markt.
KSG is opgericht in 1982, heeft 20 werknemers en verwacht een omzet te
realiseren van 2,4 miljoen Canadese dollars per einde boekjaar op 31 juli
2002. Verwacht wordt dat KSG zal bijdragen aan de winst per aandeel van HITT
over 2002.
De deelneming in KSG wordt in contanten voldaan.
Profiel HITT
HITT is een vooraanstaand speler in de wereldwijde nichemarkt voor
verkeersbegeleiding- en navigatiesystemen. De door HITT ontwikkelde
technologie leidt tot hogere veiligheid, betere doorstroming en aanzienlijke
besparingen in infrastructuur en logistiek. De activiteiten van HITT bestaan
uit de volgende twee segmenten: verkeersbegeleidende systemen voor lucht- en
scheepvaart en hydrografische en navigatiesystemen. Onder het eerste segment
vallen'Air Traffic Control' gericht op het verkeer op luchthavens, 'Vessel
Traffic Management' gericht op verkeer op binnen- en buitenwateren en
'Technical Services' gericht op onderhoud van kennis en systemen bij
klanten. Onder het tweede segment vallen 'hydrographic surveillance systems'
voor het maken van digitale onderwater terreinmodellen; 'precision
navigation systems' voor beloodsing en ondersteuning bij afmeren en offshore
constructiewerkzaamheden; 'navigation systems' voor de visserij en
automatische identificatie AIS. HITT levert software producten,
ondersteunende diensten en neemt integrale projecten aan. Als
projectverantwoordelijke levert HITT alle benodigde systeemelementen zoals
sensoren, communicatieapparatuur en computers. Na de installatie voorziet
HITT in het jarenlange onderhoud van de systemen.
HITT behaalde in 2001 een omzet van ? 37,6 miljoen (2000: ? 17,9 miljoen) en
een nettowinst van ? 2,0 miljoen (2000: ? 1,7 miljoen). Het aantal
werknemers eind 2001 bedroeg 119. Sinds juni 1998 is HITT genoteerd aan
Euronext Amsterdam NV

HITT SIGNS LETTER OF INTENT TO ACQUIRE SHARES IN KLEIN SYSTEMS GROUP LTD.

HITT has signed a letter of intent to acquire a 40% minority shareholding in
Klein Systems Group Ltd. of Vancouver, Canada. The agreement includes the
right to acquire full ownership within three to six years. The acquisition
fits into HITT's strategy to strengthen its position as a leader in cutting
edge technology, to expand in the global market by working with strong
partners and to broaden the market in the direction of logistics and
management systems in the field of naval and air traffic.
Klein Systems Group Ltd. (KSG) is a software design and development company
serving major sectors of the maritime transportation industry. KSG's Systems
are in place with major port authorities, maritime pilotage companies and
associations and tow boat operators. KSG has acquired an excellent
reputation for its knowledge of the industry's regulatory framework and
operations and for the quality and support of its work in Canada, the USA,
the Caribbean and Hawaii. The company specializes in the automation of
business operations processes and their seamless integration with financial
accounting modules. KSG's approach of establishing the automation process in
the client's 'operational' functions and following through the 'billing'
consequences of these activities to financial accounting, has proven to be
an ideal formula for successful implementation and client satisfaction. KSG'
s systems have enabled its customers to ensure complete asset management and
transaction tracking, with immediate billing for services. This ensures the
completeness and accuracy of service billings, and sharply reduces the
'service-to-cash' delay.
HITT is a software dominant system-integrator with focus on traffic control
and navigation in naval and airport environments. Arrival and departure
planning and gate and berth allocation, among other functions, are typical
activities benefiting from accurate real-time tracking. When combined with
KSG's critical resource planning and business process automation and
accounting modules, the combined strength of HITT and KSG presents a unique
offering to the market.
Founded in 1982, KSG now employs 20 staff and expects sales over the year
ending July 31, 2002 of CAN$ 2.4 million. It is expected that KSG will
contribute to HITT's earnings per share over 2002. The participation in KSG
will be paid in cash.
