Aandeelhouders Berna maken weg vrij voor combinatie met Crucell
NIET BESTEMD VOOR BEKENDMAKING, PUBLICATIE OF VERSPREIDING, IN ZIJN GEHEEL OF GEDEELTELIJK, IN OF NAAR DE VERENIGDE STATEN, CANADA, JAPAN OF AUSTRALIË
Leiden, 11 januari 2006 - Het Nederlandse biotechnologiebedrijf Crucell N.V. (Euronext, NASDAQ: CRXL) heeft vandaag bekendgemaakt dat de algemene vergadering van aandeelhouders van Berna Biotech A.G. akkoord is gegaan met het afschaffen van beperkingen op de overdracht van aandelen en de benoeming van de drie leden van de Raad van Bestuur van Crucell tot lid van het Berna bestuur, indien het ruilbod onvoorwaardelijk wordt of is verklaard.
Met de goedkeuring van zowel de aandeelhouders van Crucell als van Berna zijn de belangrijkste voorwaarden vervuld voor de totstandkoming van het ruilbod. Het bod heeft een aanmeldingstermijn tot 20 januari 2006. Verwacht wordt dat de transactie kan worden afgerond op 22 februari 2006.
