Borland neemt Segue Software over en verkoopt IDE-productportfolio
~ Organisatie wil uitvoering van Software Delivery Optimization-visie versnellen ~
Amstelveen, 8 februari 2006 - Borland Software Corporation (NASDAQ NM: BORL) heeft vandaag nieuwe en vooruitstrevende plannen aangekondigd omtrent hun Application Lifecycle Management (ALM) portfolio. Als onderdeel van de plannen is Borland overeengekomen Segue Software Inc. (NASDAQ CM: SEGU) te kopen. Segue Software is een wereldwijde provider van software quality en testing-oplossingen en is gevestigd in Massachusetts in de VS. Daarnaast kondigt Borland aan dat ze op zoek zijn naar een koper voor hun Integrated Development Environment (IDE) productportfolio, dat de succesvolle Borland Developer Studio (Delphi®, C++Builder® en C#Builder®) en JBuilder® productlijnen omvat.
"Dit is een logische ontwikkeling om onze focus verder uit te breiden op het gebied van softwarelevering", aldus Tod Nielsen, president en CEO bij Borland. "We helpen bedrijven hun toegevoegde waarde te verhogen met de inzet van succesvolle software-initiatieven. De beslissing om ons meer te richten op ALM en tegelijkertijd ons IDE-portfolio de aandacht te geven die het verdient maakt het voor ons mogelijk om te doen wat goed is voor de business, onze klanten en wat goed is voor de toekomst van software-ontwikkeling."
Borland en Segue hebben een definitieve overeenkomst voor de overname gesloten. Borland neemt Segue in één keer over en betaalt 8,67 USD per aandeel contant. De twee bedrijven verwachten dat de overname in het tweede kwartaal van 2006 afgerond is. De overname heeft een waarde van ongeveer 100 miljoen USD en wordt gefinancierd met contanten.
In de afgelopen drie jaar heeft Borland zijn ALM-portfolio sterk uitgebreid en zal deze dit jaar in een aantal gecombineerde en gepersonaliseerde oplossingen aanbieden die het mogelijk maken voor klanten om hun meest kritieke procesgebieden binnen softwarelevering te optimaliseren. De focus ligt daarbij op de volgende procesgebieden:
* IT-Management en IT Governance;
* Requirements Definition en Management;
* Change Management;
* Lifecycle Quality Management.
IDE-productportfolio
Terwijl organisaties ALM-oplossingen zien als een manier om de productiviteit van het team- en de organisatie te verbeteren, blijven individuele ontwikkelaars vragen om meer feature-rijke tools die hen helpen om hun productiviteit te optimaliseren. Dat is ook de reden dat Borland de laatste jaren continu heeft geïnvesteerd in zowel ontwikkeltools als het ALM-productportfolio.
"Ontwikkelaars zullen altijd een belangrijke rol blijven spelen binnen de applicatielevenscyclus. Echter, de ALM- en IDE-markten zijn zeer verschillend en hebben expliciete businessmodellen nodig, verschillende operationele- en marketingstructuren en een gefocust R&D-team", aldus Nielsen. "Deze markten zijn allebei belangrijk, maar Borland kan niet langer voldoen aan de middelen en aandacht die deze vereisen. Daarom heeft Borland gekozen om zich volledig te gaan focussen op zijn ALM-business en dat is het beste voor de ontwikkelgemeenschap. Onze bedoeling is om een business te creëren die zich richt op het verbeteren van de individuele productiviteit van de ontwikkelaar."
Borland heeft Bear, Stearns & Co. Inc. aangesteld om het aankoopproces van Borland's IDE-assets te begeleiden.
