ABN AMRO verkrijgt goedkeuring van CONSOB voor verplicht bod op Banca Antonveneta
ABN AMRO maakt bekend dat CONSOB, de Italiaanse beursautoriteit, toestemming heeft gegeven
voor de publicatie van het prospectus van het bod in contanten op het totale aandelenkapitaal van
Banca Antonveneta.
Met het bod betaalt ABN AMRO de Banca Antonveneta aandeelhouders een bedrag van EUR 26,50
voor elk gewoon aandeel Banca Antonveneta, zoals reeds aangegeven op 26 september 2005.
ABN AMRO publiceert het prospectus op 26 februari. De biedingsperiode van het verplicht openbaar
bod zal, zo is overeengekomen met Borsa Italiana, van start gaan op 27 februari en duurt tot en met
31 maart 2006.
De biedingsperiode duurt 25 handelsdagen en kan niet door ABN AMRO worden verlengd. CONSOB
heeft volgens de Italiaanse voorschriften echter de mogelijkheid om, in overleg met de biedende partij
en Borsa Italiana, de acceptatieperiode tot 55 handelsdagen te verlengen.
Na enkele aankopen in de openbare markt is ABN AMRO's belang in Banca Antonveneta inmiddels
toegenomen tot 61,23 % van het totaal uitstaande aandelenkapitaal.
