Visa deponeert registratieverklaring over herstructurering
LONDEN, 22 juni 2007 - Visa Inc. heeft vandaag een registratieverklaring gedeponeerd bij de Amerikaanse Securities and Exchange Commission (SEC) over een aantal transacties die te maken heeft met het geplande samengaan van Visa Canada, Visa International en Visa USA in een besloten vennootschap, Visa Inc. Visa Europa blijft een coöperatie en wordt licentiehouder met een minderheidsbelang in Visa Inc.
De registratieverklaring beschrijft deze transacties, de volgende stappen die moeten worden ondernomen en geeft details over de voorwaarden van de toekomstige relatie tussen Visa Inc. en Visa Europa als licentiehouder.
In deze voorgestelde structuur blijft Visa Europa een afzonderlijke entiteit gericht op het voldoen aan de unieke behoeften van haar klanten op de Europese markt. Tegelijkertijd blijft Visa als geheel, naadloos samenwerken aan het verbeteren van de onderlinge operabiliteit, betrouwbaarheid en veiligheid voor haar Visa-leden, klanten, kaarthouders en retailers in de hele wereld.
President en CEO van Visa Europe, Peter Ayliffe: "De unieke kenmerken van de Europese markt vereisen een strategie op maat. Deze aanpak stelt ons in staat om ons te richten op de doelstelling om een grenzenloze Europese betalingsmarkt te creëren en daarnaast wereldwijd te kunnen opereren."
Hij vervolgt: "Dit versterkt Visa Europa als het enige echte Europese betalingssysteem van haar leden."
Als de SEC haar onderzoek heeft afgerond en de registratieverklaring geldend heeft verklaard, zet Visa Inc. een wereldwijd proces in gang om instemming van de leden te krijgen voor deze herstructurering.
