CEO Cees Bergman zegt over de resultaten van Fornix: 'Voor Fornix BioSciences was 2007 een sleuteljaar. Een jaar waarin een aantal belangrijke stappen voorwaarts werd gezet. Het succesvolle Oralgen(TM) Graspollen onderzoek springt uiteraard in positieve zin het meest in het oog. De uitkomsten van dit onderzoek die de veiligheid en werking overtuigend aantoonden, vergroten de kans op een definitieve registratie en banen de paden voor onze beoogde expansie als allergieonderneming in Europa. De start van de eigen allergiedistributieorganisatie in Duitsland is daarvan het eerste bewijs. Het vergroot ook onze kansen op een succesvolle acquisitie van een Europees allergiebedrijf. De divisie Medische Hulpmiddelen presteerde minder dan verwacht, maar droeg wel goed bij aan het resultaat. Een doorgevoerde rationalisering in 2007 moet voor een acceleratie van het resultaat in 2008 gaan zorgen. Met de verkoop van de Handelsdivisie zijn we thans geheel teruggekeerd bij onze succesvolle kernactiviteiten. Acquisities blijven nadrukkelijk op de agenda staan. We zijn klaar voor een belangrijke stap voorwaarts.'

Fornix BioSciences N.V. (Euronext Amsterdam: AFORBI) realiseerde een uitstekende winst over het boekjaar van ¤ 14,0 miljoen, uiteraard beïnvloed door de verkoop van de Handelsdivisie en geholpen door wederom goede prestaties van de Allergiedivisie, ondanks sterk toegenomen klinische onderzoekskosten en een aanloopverlies in Duitsland. Door de verkoop van de Handelsdivisie per 1 oktober 2007 daalden de opbrengsten weliswaar met 12% van ¤ 96,0 miljoen in 2006 naar ¤ 84,7 miljoen. Maar exclusief de Handelsdivisie zouden de opbrengsten van de huidige kernactiviteiten van Fornix BioSciences (allergie en medische hulpmiddelen) met 9,5% zijn gestegen van ¤ 34,8 miljoen naar ¤ 38,2 miljoen. De EBIT steeg met 5,0% van ¤ 16,6 ,6 miljoen naar ¤ 17,4 miljoen. De winst van Fornix steeg met 12% tot ¤ 14,0 miljoen. Dit resultaat is inclusief de verkoopopbrengst, na aftrek van direct toerekenbare kosten, van netto ¤ 2,1 miljoen uit de verkoop van de Handelsdivisie, een negatief nettoresultaat van de Handelsdivisie van ¤ 0,1 miljoen en niet operationele baten met een netto effect van ¤ 0,2 miljoen. Zonder eerdergenoemde posten mee te rekenen, zou de winst in 2007 op ¤ 11,8 miljoen zijn uitgekomen, circa 12,4% hoger dan de ¤ 10,5 miljoen in 2006, indien met soortgelijke posten rekening wordt gehouden. De winst van ¤ 14,0 miljoen zal, vanwege de buitengewoon sterke kaspositie, volledig aan aandeelhouders worden uitgekeerd in de vorm van een keuzedividend.

De nettowinststijging werd verder ingeperkt door de veel hogere investering in 2007 in klinisch onderzoek van ¤ 4,1 miljoen (2006: ¤ '¬ 3,0 miljoen) en het voorziene aanloopverlies (negatieve EBIT) van ¤ 0,6 miljoen voor de uitbreiding van onze nieuwe allergiedistributieorganisatie in Duitsland. Gecorrigeerd voor het netto-effect van de investering in klinisch onderzoek en het aanloopverlies in Duitsland, zou het nettoresultaat (exclusief de verkoopopbrengst van de Handelsdivisie) over 2007 echter ¤ 13,2 miljoen hebben bedragen, een toename van 6,5% ten opzichte van het nettoresultaat van ¤ 12,4 miljoen over 2006.

De Allergiedivisie presteerde in 2007 net als in de afgelopen jaren boven verwachting. De opbrengsten stegen met 11,3% (2006: 6%), van ¤ 26,4 miljoen tot ¤ 29,4 miljoen. Deze groei was te danken aan een sterke groei van het immunotherapeutische product Oralgen(TM) (+13%) en Artuvetrin(TM) (veterinair allergieproduct; +26%). Dit ondanks het nog immer doorwerkende effect van de teleurstellende uitkomst van de STARDROP-studie eind 2005, toegenomen concurrentie en een stijgende uitstroom van Oralgen(TM)-patiënten die na drie tot vijf jaar klaar zijn met hun behandeling. De EBIT van de Allergiedivisie steeg met 3,0% tot ¤ 13,2 miljoen, ondanks substantieel hogere investeringen van circa ¤ 4,1 miljoen (2006: ¤ 3,0 miljoen) in het Clinical Development Plan. Daarnaast werd op 1 juni 2007 gestart met eigen marketing, verkoop en distributie van allergieproducten in Duitsland na de verwerving van de activiteiten van Rölke Pharma in Hamburg, sinds tien jaar distributeur van Igevac(TM), de merknaam waaronder Oralgen(TM) in Duitsland wordt verkocht. Over de periode 1 juni t/m 31 december 2007 zijn in Duitsland opbrengsten van ¤ 0,7 miljoen en een negatieve EBIT van ¤ 0,6 miljoen gerealiseerd.

De opbrengsten van de divisie Medische Hulpmiddelen namen minder snel toe dan verwacht. De opbrengsten stegen met 4% van ¤ 8,4 miljoen naar ¤ 8,7 ,7 miljoen. De divisie kreeg te maken met het verlies van de vertegenwoordiging van een aantal belangrijke stomaproducten. De EBIT steeg door een stringent kostenbeleid met 24% van ¤ 2,0 miljoen tot ¤ 2,5 miljoen. Gedurende het et tweede halfjaar van 2007 zijn verschillende maatregelen voorbereid en geïmplementeerd die tot een acceleratie van de autonome groei van de divisie zullen moeten leiden.

Op 1 oktober 2007 is de Handelsdivisie bestaande uit Dr. Fisher Farma verkocht aan het farmaceutische groothandelsbedrijf Mosadex C.V. uit Elsloo. De resultaten van de divisie stonden al meerdere jaren onder druk. Over de eerste drie kwartalen van 2007 zijn er opbrengsten van ¤ 46,6 miljoen gerealiseerd, 3% hoger dan de opbrengsten over de eerste drie kwartalen van 2006. De EBIT over dezelfde periode kwam uit op ¤ 0,1 miljoen (2006: ¤ 1,2 miljoen en positief). De opbrengst van de verkoop van de Handelsdivisie is uiteindelijk uitgekomen op ¤ 13,4 miljoen, verdeeld in ¤ 2,4 miljoen verkoopopbrengst en ¤ 11,0 miljoen volledige aflossing van het door Fornix BioSciences gefinancierde werkkapitaal en vaste activa. De verkooptransactie leverde, na aftrek van direct toerekenbare kosten een bijdrage van ¤ 2,1 miljoen aan het resultaat over 2007.

Volledige winst als dividend
Fornix BioSciences zal tijdens de komende Algemene Vergadering van Aandeelhouders op 18 april 2008 aan de aandeelhouders voorstellen evenals over 2006 de volledige winst over 2007 als (keuze)dividend uit te keren. Ondanks onverminderde inspanningen om acquisities te doen op het gebied van allergie en/of medische hulpmiddelen, is de onderneming van mening dat de buitengewoon sterke liquiditeitspositie voldoende ruimte laat om de volledige winst in de vorm van een keuzedividend uit te keren. Derhalve zal het voorgestelde dividend per aandeel over 2007 ¤ 2,01 bedragen, vergeleken met ¤ '¬ 1,88 over 2006. Het reeds in augustus 2007 uitgekeerde interim-dividend ad ¤ 0,65 zal uiteraard hierop in mindering worden gebracht, zodat een slotdividend van ¤ 1,36 in de vorm van een keuzedividend zal worden voorgesteld.

Vooruitzichten 2008
Fornix BioSciences voorziet voor 2008, onvoorziene omstandigheden daargelaten, een winst van circa ¤ 11,8 miljoen (2007: ¤ 14,0 miljoen, op op basis van genormaliseerd operationeel resultaat ¤ 11,8 miljoen). De geconsolideerde opbrengsten zullen naar verwachting met 8% groeien naar circa ¤ 41 miljoen. Deze vooruitzichten zijn gebaseerd op een naar verwachting betere winst- en opbrengstengroei bij de divisie Medische Hulpmiddelen dan in 2007 en een voortgaande groei van de Allergiedivisie, gecombineerd met substantieel grotere investeringen dan in 2007 in Duitsland. Fornix BioSciences houdt bovendien voor 2008 rekening met vergelijkbare investeringen als in 2007 in het Clinical Development Plan ten behoeve van de registratie van de allergeenproducten.

Resultaten algemeen

Opbrengsten
Door de desinvestering van de Handelsdivisie per 1 oktober 2007 werden de opbrengsten van deze divisie voor slechts negen maanden in de consolidatie opgenomen. Over de eerste drie kwartalen van 2007 bedroegen de opbrengsten van deze divisie ¤ 46,6 miljoen tegen ¤ 61,2 miljoen over geheel 2006. Dit leidde voor Fornix BioSciences als geheel in 2007 tot 12% lagere opbrengsten van ¤ 84,7 miljoen vergeleken met ¤ 96,0 miljoen in 2006. Exclusief de Handelsdivisie zouden de opbrengsten van de overblijvende activiteiten van Fornix BioSciences (allergie en medische hulpmiddelen) met 9,5% gestegen zijn van ¤ 34,8 miljoen naar ¤ 38,1 miljoen. De export van met name gepatenteerde geneesmiddelen in de negen maanden van 2007 dat Fisher Farma nog in de consolidatie was opgenomen, was met ¤ 10,9 miljoen voor 13% in de totale opbrengsten vertegenwoordigd (2006: ¤ 10,4 miljoen, 11%). Dit betekent een relatieve toename van 4,9% ten opzichte van de export in het boekjaar 2006.

Brutomarge
De brutomarge (in de jaarrekening brutoresultaat) is over het afgelopen boekjaar uitgekomen op ¤ 34,0 miljoen, ofwel 40,2% van de opbrengsten. Dit betekent een stijging van 6,6% ten opzichte van de brutomarge in 2006 (¤ 31,9 miljoen; 33,3% van de opbrengsten). De hogere brutomarge is grotendeels toe te schrijven aan verder toegenomen opbrengsten van de allergeenproducten van de Allergiedivisie en de divisie Medische Hulpmiddelen.

Overige bedrijfsopbrengsten
De overige bedrijfsopbrengsten betreffen voornamelijk de opbrengst van de verkoop van Dr. Fisher Farma.

Kosten
De kosten bedroegen over 2007 ¤ 18,8 miljoen tegenover ¤ 15,9 ,9 miljoen over 2006, derhalve een stijging van ¤ 2,9 miljoen ofwel 17,9%. De kostenstijging is voor een belangrijk deel toe te schrijven aan hogere kosten onderzoek en ontwikkeling ad ¤ 4,1 miljoen in 2007 ten opzichte van ¤ 3,0 miljoen in in 2006 vanwege de lopende onderzoeken naar de werkzaamheid van de verschillende Oralgen(TM)- producten. Daarnaast zijn in het jaar 2007 de kosten van Artu Duitsland in de cijfers verwerkt.

EBIT en nettowinst
De EBIT steeg tot ¤ 17,4 miljoen, een stijging van 5% ten opzichte van 2006 (¤ 16,6 miljoen). De nettowinst van Fornix BioSciences steeg met 12% tot ¤ 14,0 miljoen. Dit resultaat is inclusief de eenmalige bate van netto ¤ 2,1 miljoen uit de verkoop van de Handelsdivisie, een negatief nettoresultaat van de Handelsdivisie over de eerste negen maanden van 2007 van ¤ 0,1 miljoen en niet operationele baten met een netto-effect van ¤ 0,2 miljoen.

Financiering
Fornix BioSciences wordt in belangrijke mate gefinancierd vanuit het eigen vermogen. Dit eigen vermogen bedroeg ultimo 2007 ¤ 49,2 miljoen, ofwel 83% van het balanstotaal (ultimo 2006: 71%). Deze procentuele stijging van het eigen vermogen ten opzichte van het totale vermogen (balanstotaal) is voornamelijk toe te schrijven aan het resultaat over 2007, de uitoefening van personeelsopties verminderd met het slotdividend 2006 (in cash) en het interim-dividend 2007 (in cash). Verder is er een kredietfaciliteit in rekening-courant tot een maximum van ¤ 4,5 miljoen, hetgeen voor het komende jaar ruim voldoende is. Fornix BioSciences dient indien ze gebruik maakt van die faciliteit slechts aan een beperkt aantal covenants en financiële ratio's te voldoen, waaraan zij momenteel ruimschoots voldoet.

Overige balansposities
De waarde van de voorraad bedroeg ultimo 2007 ¤ 3,3 miljoen (ultimo 2006: ¤ 9,5 miljoen). Derhalve een afname met 65%. De voorraad van de divisie Medische Hulpmiddelen bedroeg ultimo 2007 ¤ 1,1 miljoen (2006: ¤ 1,2 miljoen). ). De voorraad van de Allergiedivisie bedroeg ultimo 2007 ¤ 2,2 miljoen, vergeleken met ¤ 1,9 miljoen ultimo 2006. De debiteurenportefeuille nam per 31 december 2007 met 52,5% af tot ¤ 4,5 miljoen (2006: ¤ 9,5 miljoen), bij een en nagenoeg gelijkblijvende krediettermijn debiteuren. De post handelsschulden daalde van ¤ 7,2 miljoen ultimo 2006 tot ¤ 2,5 miljoen per 31 december 2007. De daling van de voorraadwaarde, de debiteurenvorderingen en handelsschulden hield voornamelijk verband met de verkoop per 1 oktober 2007 van Dr. Fisher Farma.

Gezonde liquiditeitspositie
Dankzij de gezonde resultaten van de Allergiedivisie en de divisie Medische Hulpmiddelen en de verkoop van de Handelsdivisie, was de liquiditeitspositie ook per eind 2007 uitstekend. Fornix BioSciences is schuldenvrij en beschikte per 31 december 2007 over bijna ¤ 33,2 miljoen aan liquide middelen (2006: ¤ 20,7 miljoen). Bovendien heeft de onderneming voor een bedrag van ¤ 5,9 miljoen (op basis van de slotkoers per 31 december 2007) aan eigen aandelen in portefeuille. Het handhaven van deze gezonde balansverhoudingen past in de strategie om passende, kleinere en middelgrote overnames zo veel mogelijk uit eigen middelen te kunnen financieren.

Clinical Development Plan succesvol

Voor Fornix was 2007 een sleuteljaar op het gebied van klinisch onderzoek. In het Clinical Development Plan (CDP) ten behoeve van Oralgen(TM) Graspollen is een grote stap voorwaarts gemaakt. In 2007 stegen de kosten van onderzoek en ontwikkeling voor de Allergiedivisie met 35,4% tot ¤ 4,1 miljoen, vergeleken met ¤ 3,0 miljoen in 2006. Deze stijging was hoger dan verwacht door enerzijds enigszins hogere uitgaven ten laste van 2007 (effect ¤ 0,3 miljoen) voor de uitvoering van het in 2006 gestarte Oralgen(TM) Graspollenonderzoek, studie AB0602. Anderzijds werd in 2007 besloten tot een follow up-studie met Oralgen(TM) Graspollen, studie AB0602/1, ter grootte van ¤ 0,7 miljoen ten laste van 2007, waarmee in eerdere prognoses geen rekening werd gehouden. Fornix BioSciences verwacht voor 2008 gelijkblijvende investeringen in klinisch onderzoek vergeleken met 2007.

Succesvolle afronding grootschalig onderzoek Oralgen(TM) Graspollen Medio februari 2008 maakte Fornix in een uitgebreid persbericht bekend dat het de eind 2006 gestarte pan-Europese klinische Fase II/III studie ­ AB0602 ­ bij ij 605 allergische patiënten naar de effectiviteit en veiligheid van Oralgen(TM) Graspollen, succesvol had afgerond. In de studie werden drie verschillende doseringsregimes geëvalueerd. De resultaten gaven aan dat de inzet van de hoogste van de drie onderzochte doses Oralgen(TM) Graspollen al in het eerste jaar van behandeling leidde tot een aanzienlijke afname van allergische klachten, terwijl tegelijkertijd het gebruik van overige antiallergische medicatie sterk kon worden teruggebracht. De studie heeft naast informatie over de werkzaamheid en veiligheid van het product ook nader inzicht in de dosisrespons relatie van Oralgen(TM) Graspollen opgeleverd. De uitkomst van de studie is essentieel voor het verdere traject richting registratie en van groot belang voor de verdere uitbouw van onze allergieactiviteiten in Europa.

Registratie
Registratie van de allergeenproducten is van toenemend belang voor Fornix, mede gezien registraties die een aantal van Fornix' concurrenten in Europa en ook in Nederland hebben verkregen. De positieve resultaten van de afgeronde Oralgen(TM) -studie worden in de vorm van een uitgebreid onderzoeksrapport ingediend bij het College ter Beoordeling van Geneesmiddelen in het kader van de registratieaanvraag voor het product. Hopelijk zal het CBG op basis van dit rapport nog in het verslagjaar 2008 tot een finaal oordeel komen. In afwachting van het definitieve oordeel over de registratieaanvraag wordt de huidige voorlopige registratiestatus van de Oralgen(TM)-producten gehandhaafd.

Parallelle studie naar Oralgen(TM) Mijten
De onderneming overweegt ook volgens het ontwerp van het net afgeronde Oralgen(TM) Graspollenonderzoek een tweede studie te starten naar de effectiviteit, veiligheid en dosering van Oralgen(TM) Mijten. De studie loopt parallel aan de lopende studie door het Erasmus Medisch Centrum. Het ontwerp van de lopende studie met Oralgen(TM) Mijten kent mogelijk een aantal tekortkomingen die vergelijkbaar zijn met de minder succesvol verlopen STARDROP-studie. De definitieve besluitvorming hieromtrent zal plaatsvinden nadat de analyse van de AB0602 studie volledig is afgerond.

Artuvetrin(TM) Therapie en Artuvetrin(TM) Serum Test Fornix is reeds in het bezit van een registratie in Nederland voor het veterinaire immunotherapie- product Artuvetrin(TM) Therapie. Het jaar 2008 staat in het teken van de verdere implementatie van de Artuvetrin(TM) Serum Test in Europa. In Frankrijk wordt onderzoek verricht waarbij de diagnostiek via de serumtest wordt vergeleken met andere diagnostische methoden. De uitkomst van dit vergelijkend onderzoek wordt in 2008 verwacht, waarna ook de Franse markt intensiever bewerkt kan worden door de Franse distributeur van Artuvetrin(TM) producten.

Resultaten per divisie

Fornix wordt thans gevormd door de divisies Allergie en Medische Hulpmiddelen. In het boekjaar werd de Handelsdivisie bestaande uit Dr. Fisher Farma per 1 oktober verkocht. Deze divisie werd voor negen maanden in de consolidatie opgenomen en wordt hieronder dan ook kort behandeld.

De onderdelen Artu Biologicals Europe en Artu Biologicals Nederland (tezamen Artu Nederland) en Artu Biologicals Deutschland vormen de Allergiedivisie en zijn in Nederland en Duitsland actief op het gebied van wetenschappelijk onderzoek naar en de ontwikkeling, productie en verkoop van diagnostische en therapeutische allergeenproducten voor patiënten met een inhalatieallergie.

Artu Nederland presteerde in 2007 overeenkomstig de trend in de afgelopen jaren boven verwachting. De opbrengsten lieten een toename zien van bijna 10% (2006: 6%), van ¤ 26,4 miljoen tot ¤ 28,9 miljoen. Deze hogere opbrengstengroei, in vergelijking met het voorgaande jaar, werd voornamelijk gedragen door een sterke groei van het immunotherapeutische product Oralgen(TM) (+13%) en Artuvetrin(TM) (+26%). Dit ondanks voelbare terughoudendheid in de markt na de teleurstellende resultaten van de STARDROP-studie eind 2005, toegenomen concurrentie en het feit dat er nog steeds sprake is van een voorziene toename van de uitstroom van Oralgen(TM)-patiënten die de reguliere behandelperiode van drie tot vijf jaar hebben voltooid. De EBIT van Artu Nederland nam zelfs met 8,0% toe van ¤ 12,8 miljoen tot ¤ 13,8 miljoen. Dit ondanks ks substantieel hogere investeringen van circa ¤ 4,1 miljoen (2006: ¤ 3,0 ,0 miljoen) in het Clinical Development Plan ter ondersteuning van de registratieaanvraag van de verschillende Oralgen(TM)-producten. Zonder het effect van deze investeringen zou de EBIT met ruim 16% zijn toegenomen. Ondanks de toegenomen concurrentie heeft Fornix BioSciences ook in 2007 haar Nederlandse marktleiderschap van ruim 70% op het gebied van sublinguale (toediening onder de tong) immunotherapeutische allergeenproducten weten te consolideren. Zoals ook al aangekondigd in ons persbericht van 29 januari 2008 inzake de voorlopige jaarcijfers 2007, heeft het Ministerie van VWS in januari 2008 alle licentiehouders van allergeenproducten bericht over het voornemen om de huidige vergoedingstatus van allergeenproducten te herzien. Wij verwachten in de loop van 2008 duidelijkheid te verkrijgen over de eventuele gevolgen hiervan.

Verwerving activiteiten Rölke Farma en start allergieactiviteiten in Duitsland De Allergiedivisie is op 1 juni 2007 gestart met eigen marketing, verkoop en distributie van allergieproducten in Duitsland door de aankoop van de activiteiten van het Duitse Rölke Pharma in Hamburg, sinds tien jaar distributeur van Igevac(TM), de merknaam waaronder Oralgen(TM), het premium immunotherapieproduct van Fornix BioSciences, in Duitsland wordt verkocht.

Over de periode 1 juni t/m 31 december 2007 zijn in Duitsland opbrengsten van ¤ 0,7 miljoen en een negatieve EBIT van ¤ 0,6 miljoen gerealiseerd. Naar verwachting zullen de activiteiten in Duitsland ook de komende jaren nog een negatieve EBIT laten zien. De opbouw van een duurzame positie in de grootste markt van Europa zal de komende jaren nog de nodige investeringen vergen.

Markt voor immunotherapie en concurrentie
In Europa is de markt voor immunotherapie tegen inhalatieallergie sinds 2000 met gemiddeld 7% per jaar gegroeid. Sublinguale immunotherapie neemt daarin een steeds prominentere plaats in. Duitsland is de grootste markt in Europa voor dit soort producten, gevolgd door Frankrijk, Spanje en Italië. Circa 20% van de Nederlanders heeft last van enige vorm van allergie. Ruwweg komen in Nederland 400.000 mensen in aanmerking voor immunotherapie zoals Artu Biologicals Nederland die aanbiedt. Artu Biologicals Nederland heeft een marktaandeel van ruim 70% en is daarmee veruit marktleider in Nederland. De markt biedt nog volop mogelijkheden voor verdere groei van immunotherapie. De grootste concurrenten van Artu Biologicals Nederland op het gebied van immunotherapie in Nederland zijn het Deense ALK Abelló en het voormalige Nederlandse, nu Duitse, bedrijf HAL. In Europa spelen ook het in Frankrijk gevestigde Stallergènes en het in Duitsland gevestigde Allergopharma een belangrijke rol.

Vooruitzichten 2008
Fornix voorziet voor de Allergiedivisie in 2008 een voortgaande stijging van opbrengsten en winstbijdrage, ondanks de nog immer toenemende groep uittredende patiënten na de drie tot vijf jaar durende behandeling. In 2008 zullen de nodige verdere innovaties worden gepleegd ten aanzien van marktbenadering en servicegerichtheid richting huisartsen en specialisten. De positieve uitkomsten van de klinische studie naar de effectiviteit en dosering van Oralgen(TM) Graspollen zal kunnen bijdragen aan een verdere acceptatie van deze therapie onder deze beroepsgroepen. Het jaar 2008 staat ook in het teken van de verdere implementatie van de Artuvetrin(TM) Serum Test in Europa. Daarnaast wordt gewerkt aan een update van het registratiedossier van Artuvetrin(TM). Mogelijk kan dit leiden tot nieuwe registraties in Europa.

De divisie Medische Hulpmiddelen, bestaande uit het in 2006 overgenomen Laprolan in Beuningen, voorheen Laprolan/ComforMed, heeft in Nederland, en voor een aantal producten ook in Europa, de exclusieve verkooprechten voor een breed gamma aan medische hulpmiddelen. Het gaat daarbij om producten op het gebied van onder meer urologie- en stomazorg, wond- en littekenzorg, gynaecologie, en anti-decubituszorg. De producten worden afgenomen door diverse instellingen (waaronder ziekenhuizen en verpleeghuizen), apotheken, medisch speciaalzaken, groothandels en thuiszorgorganisaties.

De opbrengsten van de divisie namen minder dan verwacht met 4% toe van ¤ 8,4 miljoen in 2006 naar ¤ 8,7 miljoen in 2007. De EBIT nam, geholpen door kostenbesparingen, met 24% toe tot ¤ 2,5 miljoen. Daarbij dient te worden aangetekend dat de divisie een belangrijke vertegenwoordiging van goed bijdragende stomaproducten gedurende het boekjaar heeft verloren. Inmiddels is nieuw management uit de succesvolle allergiegelederen aangetreden en zijn maatregelen genomen die in 2008 moeten leiden tot realisatie van het groeipad dat Fornix BioSciences bij de acquisitie van Laprolan en ComforMed eind 2005 voor ogen had.

Nederlandse markt
De markt van medische hulpmidden voor mensen met een handicap, chronisch zieken en ouderen, die behoefte hebben aan een grotere zelfstandigheid, zelfredzaamheid en maatschappelijke participatie, is ook in Nederland sterk groeiend. In Nederland wordt de markt voor medische hulpmiddelen geschat op ¤ 800 miljoen tot ¤ 1 miljard, waarbij incontinentiematerialen met ruim ¤ 110 miljoen de grootste groep vormen, gevolgd door diabeteshulpmiddelen met bijna ¤ 90 miljoen en voorzieningen voor stomapatiënten met ruim ¤ 80 miljoen.

Vooruitzichten
De onderneming uit Beuningen gaat met ingang van 2008 verder onder de naam Laprolan. Voorts worden nieuwe verkoopstrategieën geïmplementeerd, is de salesforce gerevitaliseerd en is nauwkeurig gekeken naar het productenpalet van de onderneming. De inbreng van nieuwe disposableproducten voor wond- en littekenzorg, urologie- en stomazorgproducten en het aanbieden van totaalconcepten, onder meer op het gebied van anti-decubitus, moeten in 2008 aan de verkopen een nieuwe impuls geven. Ook wordt rekening gehouden met groei door acquisities. Fornix BioSciences voorziet in 2008 een positief effect van de genomen maatregelen op de opbrengsten- en resultaatgroei van deze divisie. Gestreefd wordt naar een autonome opbrengstengroei van substantieel meer dan 4% en een verdere toename van de EBIT. Daarnaast zullen mogelijke nieuwe acquisities de groei van de divisie Medische Hulpmiddelen extra stimuleren. Streven blijft in 2010 een omzet van deze divisie te genereren van circa ¤ 20 miljoen.

De in 2007 door Fornix verkochte Handelsdivisie bestaande uit Dr. Fisher Farma, richtte zich binnen Fornix BioSciences op de inkoop, import, marketing, export, verkoop en distributie van een breed assortiment gepatenteerde geneesmiddelen aan apothekers en geneesmiddelengroothandels in Nederland en dertien andere landen van de Europese Unie.

In 2007 werd het strategische besluit genomen om haar Handelsdivisie te desinvesteren. Dr. Fisher Farma werd niet langer tot de kernactiviteiten gerekend, mede gezien de beperkte winstgevendheid, zeer sterke concurrentie en toegenomen prijsmaatregelen van overheden. De onderneming werd per 1 oktober 2007 verkocht aan het Nederlandse farmaceutische groothandelsbedrijf Mosadex C.V. uit Elsloo. De transactie werd op 29 oktober 2007 door de aandeelhouders van Fornix BioSciences tijdens een Buitengewone Algemene Vergadering van Aandeelhouders goedgekeurd en uiteindelijk op 31 december 2007 afgerond. De overnamesom bedroeg ¤ 13,4 miljoen en de boekwinst op de verkoop ¤ 2,1 miljoen. De activiteiten van Dr. Fisher Farma droegen nog voor negen maanden bij aan het resultaat van Fornix BioSciences.

Resultaten negen maanden 2007
Over de eerste drie kwartalen van 2007 werden licht hogere opbrengsten gerealiseerd van ¤ 46,6 miljoen (2006: ¤ 45,1 miljoen), een toename van an 3%. De EBIT over dezelfde periode kwam uit op ¤ 0,1 miljoen (2006: ¤ 1,2 ,2 miljoen). Hierbij dient aangetekend te worden dat in de EBIT tot en met september 2007 een effect van ¤ 0,1 miljoen à ¤ 0,2 miljoen aan extra kosten is verwerkt, rechtstreeks verband houdende met de verkoop van de Handelsdivisie. Hierdoor nam de bijdrage van Dr. Fisher Farma aan de EBIT van Fornix BioSciences af van 6% in 2006 tot 1% in 2007.

Strategie en doelstellingen Fornix BioSciences

Met de verkoop van de Handelsdivisie in 2007 richt Fornix BioSciences zich thans geheel op zijn kernactiviteiten productie, marketing en verkoop van diagnostische en therapeutische allergeenproducten en de distributie van medische en verpleegkundige verbruiksartikelen. Binnen de niches waarin Fornix BioSciences actief is wenst de onderneming vooraanstaande posities in te nemen. Fornix BioSciences beschouwt Nederland als haar thuismarkt, maar streeft ook naar uitbreiding van haar activiteiten en afzet, vooral in de allergiemarkt en in iets mindere mate de markt voor medische hulpmiddelen, naar meerdere Europese landen. De substantiële investeringen in het Clinical Development Plan dienen om de voor de expansie noodzakelijke registraties van de allergieproducten veilig te stellen. Daarnaast wordt gestreefd naar uitbreiding van de activiteiten naar andere sectoren binnen de medische branche. Deze groei verwacht Fornix BioSciences te realiseren zowel door autonome groei als via middelgrote en zo mogelijk grote acquisities.

Fornix BioSciences streeft ernaar voor zijn aandeelhouders een goed rendement te realiseren op basis van met name een aantrekkelijk dividend en een voortgaande groei van de winst per aandeel. Voorts streeft Fornix BioSciences het behoud van gezonde balansverhoudingen na, waarbij een solvabiliteitsratio (eigen vermogen als percentage van het totale vermogen) wordt nagestreefd van minimaal 35%. Momenteel ligt dit percentage op 83% en dat biedt als zodanig volop mogelijkheden voor acquisities.

Doelstellingen

- Nadruk op verdere uitbouw van activiteiten op het gebied van Medische Hulpmiddelen en met name Allergie door passende acquisities.

- Voor de Allergiedivisie het behouden van de sterke marktpositie in Nederland en het verwerven van een groter marktaandeel in Duitsland.
- Een verdere toename van onderzoeksinspanning ter realisatie van registratie allergeenproducten in het kader van het Clinical Development Plan.
- Nadruk op het verkrijgen van definitieve registratie en vergoeding voor de Oralgen(TM) producten
- Voor de divisie Medische Hulpmiddelen wordt gestreefd naar een omzet van rond ¤ 20 miljoen in 2010, onder andere door het doen van kleinere en middelgrote complementaire overnames.

'2007 was a key year for Fornix BioSciences. The year brought significant progress in a number of areas, the most striking of course being the success of the Oralgen(TM) Grass Pollen trial. This trial has convincingly demonstrated the safety and efficacy of the product, increased the probability of definitive registration and paved the way for the expansion we envisage as a European supplier of allergen products. The start of our own allergen products distribution organisation in Germany is the first proof of that. It has also improved our chances of acquiring a European allergen products supplier. Although the Medical Aids Division did not perform as well as expected, it made a good contribution to the result. The rationalisation we carried out in 2007should expedite profit growth in 2008. With the sale of the Trading Division, we have now returned fully to our successful core businesses. Acquisitions are still definitely on the agenda. We are ready to take a big step forwards.'

Fornix BioSciences N.V. (Euronext Amsterdam: AFORBI) posted an excellent profit of ¤14.0 million for the 2007 financial year. This figure reflects the sale of the Trading Division and benefits from another strong performance by the Allergy Division, despite sharply higher clinical research costs and the start-up loss in Germany. The sale of the Trading Division on 1 October 2007 reduced net sales by 12% from ¤96.0 million in 2006 to ¤84.7 million in 2007. Excluding the Trading Division, however, net sales for Fornix BioSciences' current core activities (allergen products and medical aids) were 9.5% higher, up from ¤34.8 million to ¤38.2 million. EBIT rose 5.0% from ¤16.6 million to to ¤17.4 million and Fornix's profit was 12% higher at ¤14.0 million. This result includes the net sales proceeds, less directly attributable expenses, of ¤2.1 million from the sale of the Trading Division, a negative net profit for the Trading Division of ¤0.1 million and net non-operational income of ¤0.2 million. Excluding these items, profit in 2007 would have been ¤11.8 million, approximately 12.4% higher than the 2006 figure of ¤10.5 million (similarly adjusted). In view of Fornix's extremely strong cash position, all of this profit will be distributed to shareholders as dividend, payable in cash or shares.

Growth in net profit was also mitigated by significantly heavier investments in clinical research in 2007 amounting to ¤4.1 million (2006: ¤3.0 million) and the expected start-up loss (EBIT) of ¤0.6 million on the expansion of our new allergen products distribution organisation in Germany. Adjusted for the net effect of investments in clinical research and the start-up loss in Germany, however, the net profit (excluding the proceeds of sale of the Trading Division) in 2007 would have been ¤13.2 million, an increase of 6.5% on the net profit of ¤12.4 million for 2006.

As in previous years, the performance of the Allergy Division in 2007 exceeded expectations. Net sales recorded growth of 11.3% (2006: 6%), from ¤26.4 million to ¤29.4 million. This growth reflected ed the rapid growth of immunotherapeutic product Oralgen(TM) (+13%) and veterinary allergy product Artuvetrin (+26%), despite the continuing effect of the disappointing results of the STARDROP study at the end of 2005, heightened competition and the still increasing number of patients discontinuing Oralgen(TM) after completing the regular 3­5 year treatment programme. The Allergy Division's EBIT in the Netherlands rose 3.0% to ¤13.2 million, despite substantially heavier investment of some ¤4.1 million (2006: ¤3.0 million) in in the Clinical Development Plan. On 1 June 2007, Fornix started its own allergen products marketing, sale and distribution activities in Germany, having acquired the activities of Rölke Pharma in Hamburg, which for ten years had distributed Igevac(TM), the brand under which Oralgen(TM) is sold on the German market. Between 1 June and 31 December 2007, net sales in Germany amounted to ¤0.7 million and generated a negative EBIT of ¤0.6 million.

Net sales by the Medical Aids Division grew less rapidly than expected, rising 4% from ¤8.4 million to ¤8.7 million. n. Although the division lost its distributorship for a number of stoma products, rigorous cost control boosted EBIT by 24% from ¤2.0 million to ¤2.5 million. n. Various measures were prepared and implemented in the second half of 2007 to expedite the division's organic growth.

On 1 October 2007, the Trading Division, consisting of Dr. Fisher Farma, was sold to pharmaceuticals wholesaler Mosadex C.V. in Elsloo. The division's results had been under pressure for several years. It generated net sales of ¤46.6 million in the first three quarters of 2007, 3% higher than in the same period in 2006. EBIT over the same period turned out at ¤0.1 million (2006: ¤1.2 million positive).

The proceeds of the sale of the Trading Division amounted to ¤13.4 million, of which ¤2.4 million was goodwill and ¤11.0 .0 million represented payment in full for the working capital and assets funded by Fornix. After directly attributable transaction costs, the sale transaction contributed ¤2.1 million to the net profit in 2007.

100% of profit as dividend
At the forthcoming General Meeting of Shareholders on 18 April 2008, Fornix BioSciences will propose to the shareholders that, as with the profit for 2006, they approve the distribution of the entire profit for 2007 as dividend payable in cash or shares. Notwithstanding the unremitting effort devoted to the search for suitable acquisitions in the field of allergy treatment and/or medical aids, the company considers that its exceptionally strong cash position allows sufficient scope to distribute the entire profit as dividend, payable in cash or shares at the shareholder's option. The proposed dividend per share for 2007 will then be ¤2.01, compared with ¤1.88 for 2006. The interim dividend of ¤0.65 distributed in August 2007 will be deducted from this amount, so that the proposed final dividend will be ¤1.36, payable in cash or shares.

Outlook for 2008

Barring unforeseen circumstances, Fornix BioSciences expects to generate net profit of approximately ¤11.8 million in 2008 (2007: ¤14.0 million; adjusted for continuing activities also ¤11.8 million). Consolidated net sales are expected to grow 8% to around ¤41 million. These projections are based on expectations of better profit and net sales growth by the Medical Aids Division compared with 2007 and sustained growth by the Allergy Division, combined with substantially heavier investment in Germany than in 2007. Fornix BioSciences expects a similar level of investment in the Clinical Development Plan to support the registration of the allergen products in 2008 as in 2007.

Results overview

Net sales
Because the Trading Division was sold on 1 October 2007, only nine months of its net sales are included in the consolidation. The division's net sales for the first three quarters of 2007 amounted to ¤46.6 million compared with ¤61.2 million for the whole of 2006. The sale of the division reduced Fornix BioSciences' overall net sales for 2007 by 12% to ¤84.7 million, compared with ¤96.0 million in 2006. Excluding the Trading Division, net sales for Fornix BioSciences' remaining activities (allergen products and medical aids) were 9.5% higher, rising from ¤34.8 million to ¤38.1 million. n. Exports mainly of patented pharmaceuticals during the nine months of 2007 when Fisher was included in the consolidation, amounting to ¤10.9 million, represented 13% of total net sales (2006: ¤10.4 million or 11%), a relative increase of 4.9% compared with exports in 2006.

Gross margin
Gross margin (gross result in the financial statements) amounted to ¤34.0 million in 2007, or 40.2% of net sales. This equates to an increase of 6.6% compared with 2006 (¤31.9 million or 33.3% of net sales). The higher gross margin largely reflects the growing sales of allergen products by the Allergy Division and medical aids by the Medical Aids Division.

Other operating revenue
The other operating revenue related mainly to the proceeds of sale of Dr. Fisher Farma.

Expenses
Expenses amounted to ¤18.8 million in 2007, compared with ¤15.9 million in 2006, an increase of ¤2.9 million or 17.9%. This increase was mainly due to the higher research and development expenditure, amounting to ¤4.1 million in 2007 as against ¤3.0 million in 2006, relating to the current trials to determine the efficacy of the various Oralgen(TM) products. The costs in respect of Artu Germany are also included in the 2007 figures.

EBIT and net profit
EBIT increased to ¤17.4 million, up 5% compared with 2006 (¤16.6 million). Fornix BioSciences' net profit was 12% higher at ¤14.0 million. This result includes net non-recurring income of ¤2.1 million from the sale of the Trading Division, the Trading Division's negative net profit of ¤0.1 million for the first nine months of 2007 and net non-operational income of ¤0.2 million.

Financing
Fornix BioSciences is financed largely with shareholders' equity, which amounted to ¤49.2 million as at year-end 2007, or 83% of the balance sheet total (year-end 2006: 71%). This percentage increase in shareholder's equity relative to total assets (balance sheet total) mainly relates to the result for 2007, the exercise of staff stock options, final dividend for 2006 (in cash) and the interim dividend for 2007 (in cash). There is also an overdraft facility of a maximum of ¤4.5 million, which is amply sufficient for the coming year. If it needs to use this facility, Fornix BioSciences is only required to comply with a small number of covenants and financial ratios, which it currently satisfies by a wide margin.

Other balance sheet positions
Inventories were valued at ¤3.3 million as at year-end 2007 (year-end 2006: ¤9.5 million), a decrease of 65%. The inventories of the Medical Aids Division were valued at ¤1.1 million as at year-end 2007 (2006: ¤1.2 million) and those of the Allergy Division were valued at ¤2.2 million as at year-end 2007, compared with ¤1.9 million as at year-end 2006. The debtor portfolio as at 31 December 2007 was 52.5% lower at ¤4.5 million (2006: ¤9.5 million), with little change in the age of debtors. Trade creditors declined from ¤7.2 million as at year-end 2006 to ¤2.5 million as as at 31 December 2007. Most of the decrease in inventories, debtor portfolio and trade creditors was due to the sale of Dr. Fisher Farma on 1 October 2007.

Healthy cash position
Reflecting the good results of the Allergy Division and Medical Aids Division and the sale of the Trading Division, the cash position as at year-end 2007 was excellent. Fornix BioSciences is debt-free and had cash reserves as at 31 December 2007 of almost ¤33.2 million (2006: ¤20.7 million). The company also holds treasury shares worth ¤5.9 million (based on the closing price on 31 December 2007). Maintaining these healthy balance sheet ratios is consistent with the company's strategy of financing suitable small and medium-sized acquisitions as far as possible with its own funds.

Clinical Development Plan successful

2007 was an important year for Fornix for clinical research, with good progress in its Clinical Development Plan (CDP) for Oralgen(TM) Grass Pollen. The Allergy Division's expenditure on research and development rose 35.4% to ¤4.1 million in 2007, compared with ¤3.0 million in 2006. This increase was larger than expected, due partly to slightly higher expenses charged to 2007 (effect ¤0.3 million) for the conduct of the Oralgen(TM) Grass Pollen trial (study AB0602) which started in 2006. It was also decided in 2007 to conduct a follow up-study with Oralgen(TM) Grass Pollen (study AB0602/1), for which ¤0.7 million was charged to 2007 and for which no allowance had been made in previous forecasts. Fornix BioSciences expects investments in clinical research in 2008 to remain close to the 2007 level.

Successful completion of large-scale Oralgen(TM) Grass Pollen trial In mid-February 2008, Fornix announced in a detailed press release that the pan-European clinical phase II/III study (AB0602) of 605 allergy patients to determine the safety and efficacy of Oralgen(TM) Grass Pollen, which started at the end of 2006, had been successfully completed. Three different dosage regimes were evaluated in this study. The results showed that the highest of the three doses of Oralgen(TM) Grass Pollen covered by the study can bring about a substantial decrease in allergic complaints even in the first year of treatment and allows a significant reduction in the use of other anti-allergy medication. As well as information on the efficacy and safety of the product, the study also provided a better understanding of the dosage/response relationship for Oralgen(TM) Grass Pollen. The study results are essential for the rest of the registration procedure and are crucial for the further expansion of our allergy-treatment activities in Europe.

Registration
Registration of its allergen products is becoming increasingly important to Fornix, now that several of Fornix's competitors have secured registration in Europe and in the Netherlands. The positive results of the completed Oralgen(TM) study will be submitted to the Dutch Medicines Evaluation Board (CBG) in the form of a detailed research report to support the application for registration of the product. It is to be hoped that, on the basis of this report, the CBG will make its definitive judgment in 2008. Pending the final decision on the registration application, the provisional registration status currently held by the Oralgen(TM) products will be maintained.

Parallel study of Oralgen(TM) Mites
The company is considering starting a second study, similar in design to the recently completed Oralgen(TM) Grass Pollen trial, to determine the efficacy, safety and dosage of Oralgen(TM) Mites. This study would run in parallel with the current study being conducted by the Erasmus Medical Centre. The design of the current Oralgen(TM) Mites trial may suffer a number of shortcomings similar to those of the less successful STARDROP study. The final decision will be made once analysis of the AB0602 study has been completed.

Artuvetrin(TM) Therapy and Artuvetrin(TM) Serum Test Fornix already holds registration in the Netherlands for the veterinary immunotherapy product Artuvetrin(TM) Therapy. 2008 will see the further implementation of the Artuvetrin(TM) Serum Test in Europe. Trials are in progress in France which compare the diagnosis given by the serum test with other diagnostic methods. The results of this comparative study are expected in 2008. The French distributor of Artuvetrin(TM) products will then be able to market them more intensively on the French market.

Results per division

Fornix is now made up of the Allergy Division and Medical Aids Division. The Trading Division, comprising Dr. Fisher Farma, was disposed of at the beginning of October 2007. The latter division was included in the consolidation for nine months and is accordingly discussed briefly below.

The business units Artu Biologicals Europe and Artu Biologicals Nederland (together referred to as Artu Nederland) and Artu Biologicals Deutschland make up the Allergy Division and are active in the Netherlands and Germany in the field of scientific research concerned with the development, production and sale of diagnostic and therapeutic allergen products for patients with breathing allergies.

Artu Nederland performed better than expected in 2007, following the trend of recent years. Net sales showed an increase of almost 10% (2006: 6%), from ¤26.4 million to ¤28.9 million. This higher er rate of growth in sales compared with the preceding year was mainly attributable to strong growth of the immunotherapeutic products Oralgen(TM) (+13%) and Artuvetrin(TM) (+26%), despite palpable market reticence following the disappointing results of the STARDROP study at the end of 2005, intensified competition and the fact that there is still evidence of an expected increase in the number of Oralgen(TM) patient's coming off the drug, having completed the regular period of treatment of three to five years. EBIT for Artu Nederland actually increased by 8.0%, from ¤12.8 million to ¤13.8 million, despite te substantially higher investments of approximately ¤4.1 million (2006: ¤3.0 million) in in the Clinical Development Plan supporting the registration application for the various Oralgen(TM) products. Eliminating the effect of these investments, EBIT would have increased by more than 16%. Despite the increased competition, Fornix BioSciences again succeeded in consolidating its leading position, with a share of the Dutch market in excess of 70% in the field of sublingual immunotherapeutic allergen products in 2007. As also already announced in our press release of 29 January 2008 concerning the provisional results for 2007, the Ministry of Health, Welfare and Sport notified all allergen product licensees in January 2008 of plans to review the current payment status for allergen products. We expect it to become clear in the course of 2008 what the possible consequences of these changes are likely to be.

Acquisition of the activities of Rölke Pharma and start of allergy activities in Germany On 1 June 2007, the Allergy Division began direct marketing, sales and distribution of allergy products in Germany with the purchase of the activities of the Hamburg-based company Rölke Pharma, which has been the distributor for Igevac(TM), the brand name under which Oralgen(TM), Fornix BioSciences' premium immunotherapy product, is marketed in Germany, for 10 years.

Over the period 1 June­31 December 2007, net sales of ¤0.7 million were achieved in Germany, on which there was negative EBIT of ¤0.6 million. The activities in Germany are expected to continue posting negative EBIT in the next few years. Building up a sound position in Europe's largest market will require considerable investment in the years ahead.

Market for in therapy products and the competition In Europe, the market for immunotherapy to treat breathing allergies has grown by an average of 7% per annum since 2000. Sublingual immunotherapy is occupying an increasingly prominent place in this market. Germany is Europe's largest market for this type of product, followed by France, Spain and Italy. Approximately 20% of the Dutch population is affected by some form of allergy. Roughly 400,000 people in the Netherlands are potential patients for immunotherapy of the kind offered by Artu Biologicals Nederland. The market still has plenty of growth potential for immunotherapy. The major competitors for Artu Biologicals Nederland in the field of immunotherapy in the Netherlands are the Danish company ALK Abelló and the formerly Dutch but now German-owned company HAL. In Europe, Stallergènes, based in France, and Allergopharma, based in Germany, are important players.

Outlook for 2008
Fornix expects to see a continuing rise in sales and profit contribution for the Allergy Division in 2008, despite the growing group of patients coming off the drugs after treatment lasting three to five years. In 2008, there will be vital further innovations in marketing and the services directed at general practitioners and specialists. The positive results of the clinical study into the efficacy and dosage of Oralgen(TM) Grass Pollen should contribute to further acceptance of this therapy among the various groups of professionals. 2008 will also be marked by the further implementation of the Artuvetrin(TM) Serum Test in Europe. Efforts will also be made on updating the Artuvetrin(TM) registration dossier, which may possibly lead to new registrations in Europe.

The Medical Aids Division, comprising the company Laprolan, based in Beuningen, formerly known as Laprolan/ComforMed, has the exclusive sales rights in the Netherlands and, for a number of products, also in Europe, for a broad range of medical aids, including products in the field of urological and stoma care, care of wounds and scars, gynaecology and anti-decubitus care. The products are purchased by a variety of institutions (including hospitals and nursing homes), pharmacies, specialist medical outlets, wholesalers and home delivery organisations.

Divisional net sales grew less than expected, rising 4%, from ¤8.4 million in 2006 to ¤8.7 million in 2007. Helped by cost savings, however, EBIT rose 24% to ¤2.5 million, although it should be noted that the division lost an important dealership for profitable stoma products during the year. New management recruited from the successful ranks of the allergy activities is now in post and action has been taken which should put the business on the path to growth which Fornix BioSciences had in mind when the acquisition of Laprolan and ComforMed was made at the end of 2005.

Dutch market
The market for medical aids for people with disabilities and chronic illnesses and for the elderly who nevertheless have a need for greater independence, self-reliance and social contact, has grown strongly in the Netherlands, too. The Dutch market for medical aids is estimated at between ¤800 million and ¤1 billion, with incontinence ce materials, accounting for more than ¤110 million, forming the largest product category, followed by diabetes aids, worth almost ¤90 million, and facilities for stoma patients, worth in excess of ¤80 million.

Outlook
The Beuningen-based operation will be trading under the Laprolan name with effect from the beginning of 2008. New sales strategies are also being implemented, the sales force is being revitalised and the company's product range is being subjected to critical scrutiny. The contribution from new disposable products for the care of wounds and scars, urology and stoma care products and the offer of total concepts, including concepts in the field of anti-decubitus, should lift sales in 2008. There is also the possibility of growth through acquisitions.

Fornix BioSciences expects to see the benefits of the measures which have been taken reflected in growth in net sales and results for the division in 2008. The aim is to achieve organic growth in sales of substantially more than 4% and a further increase in EBIT. In addition, possible new acquisitions should give growth an extra boost for the Medical Aids Division. The target continues to be that the division should generate sales of around ¤20 million in 2010.

As part of Fornix BioSciences, the Trading Division disposed of by Fornix in 2007, comprising Dr. Fisher Farma, focused on the purchase, import, sale and distribution of an extensive range of patented drugs supplied to pharmacies and drugs wholesalers in the Netherlands and 13 other countries in the European Union.

In 2007, a strategic decision was taken to dispose of the Trading Division. Dr. Fisher Farma was no longer considered to be part of the core activities, partly because of the limited profitability, highly intensive competition and growing price controls on the part of public authorities. On 1 October 2007, the business was sold to the Dutch pharmaceutical wholesale company Mosadex C.V., based in Elsloo. The transaction was approved by an Extraordinary General Meeting of Shareholders of Fornix BioSciences held on 29 October 2007 and was finally completed on 31 December 2007. The purchase price amounted to ¤13.4 million, giving a book profit on the sale of ¤2.1 million. The activities of Dr. Fisher Farma contributed to the results of Fornix BioSciences for nine months of the year.

Results for nine months of 2007
Over the first three quarters of 2007, slightly higher sales of ¤46.6 million were achieved (2006: ¤45.1 million), representing an increase of 3%. EBIT over the same period worked out at ¤0.1 million (2006: ¤1.2 .2 million). It should be noted in this connection that the EBIT figure up to the end of September 2007 included the effect of between ¤0.1 million and ¤0.2 .2 million in extra costs directly related to the sale of the Trading Division. This had the effect of reducing the contribution from Dr. Fisher Farma to the EBIT achieved by Fornix BioSciences from 6% in 2006 to 1% in 2007.

Fornix BioSciences strategy and objectives

With the sale of the Trading Division in 2007, Fornix BioSciences is now focusing entirely on its core activities of production, marketing and sales of diagnostic and therapeutic allergen products and the distribution of medical and nursing aids and consumables. In the niche markets in which Fornix BioSciences is active, the company aims to occupy prominent positions. Fornix BioSciences considers the Netherlands to be its home market but is also keen to expand its activities and sales, especially in the allergy market and, to a lesser extent, the market for medical aids, to various European countries. The substantial investments in the Clinical Development Plan will serve to secure the registrations of the allergy products needed to achieve this expansion. Efforts are also being made to expand activities into other sectors of the medical market. Fornix BioSciences expects to achieve the planned expansion both through organic growth and by means of acquisitions of substantial magnitude if at all possible.

Fornix BioSciences aims to produce a good return for its shareholders, based particularly on an attractive dividend and steady growth in earnings per share. Additionally, Fornix BioSciences aims to maintain healthy balance sheet ratios, with a target capital ratio (equity as a percentage of total assets) of at least 35%. The figure is currently 83%, which leaves plenty of scope for acquisitions.

Toelichting


1 Algemeen
De financiële gegevens zoals opgenomen in dit persbericht zijn ontleend aan de jaarrekening van Fornix BioSciences N.V. maar geven niet de volledige jaarrekening weer. De geconsolideerde financiële overzichten van Fornix BioSciences N.V. (de `Vennootschap') over 2007 omvatten de Vennootschap en haar dochtermaatschappijen (tezamen te noemen de `Groep').

De jaarrekening over het boekjaar eindigend op 31 december 2007 is besproken in de vergadering van de Raad van Commissarissen van 11 maart 2008 en zal ter vaststelling worden voorgelegd aan de Algemene Vergadering van Aandeelhouders van 18 april 2008. De accountants van Fornix BioSciences N.V. hebben een goedkeurende accountantsverklaring bij deze jaarrekening afgegeven.

2 Overeenstemmingsverklaring
De geconsolideerde jaarrekening is opgesteld in overeenstemming met de International Financial Reporting Standards (IFRS's), zoals aanvaard door de Europese Unie.


3 Gehanteerde grondslagen bij de opstelling van de jaarrekening De opstelling van de jaarrekening vereist dat het management oordelen vormt en schattingen en veronderstellingen maakt die van invloed zijn op de toepassing van grondslagen en de gerapporteerde waarde van activa en verplichtingen, en van baten en lasten. De daadwerkelijke uitkomsten kunnen afwijken van deze schattingen.

1 General
The financial data as reported in this press release are an excerpt from the annual accounts of Fornix BioSciences N.V. but do not represent the full annual accounts. The Company's consolidated annual accounts for 2007 include the Company and its subsidiaries (together referred to as the "Group").

The annual report and annual accounts were discussed in the supervisory Board meeting of 11 March
2008 and will be submitted to the Annual General Meeting of shareholders for adoption on 18 April 2008. The auditors of Fornix BioSciences N.V. have issued an unqualified opinion on these annual accounts..

Publication of the annual accounts 2007 will take place on 18 April 2008.


2 Statement of compliance
The annual accounts 2007 have been prepared in accordance with International Financial Reporting Standards (IFRSs), as adopted by the European Union.


3 Basis of preparation
The preparation of the annual accounts requires the management of the Company to form opinions and to make estimates and assumptions that influence the application of policies and the reported values of assets and liabilities and of income and expenses. The actual outcomes may differ from these estimates.

With effect from 2005 the Group reports according to IFRS. For the year 2007 no important changes occurred with regard to the accounting principles of the Group.
