DOCDATA. N.V. ligt goed op koers voor 2011 en 2012. Zowel omzet als
resultaten laten een sterke ontwikkeling zien, voornamelijk dankzij het
e-commerce service bedrijf. Ondanks het feit dat er weinig afleveringen
zijn gerealiseerd door IAI industrial systems in het eerste halfjaar
van 2011 is de onderliggende trend goed en verwachten wij de resultaten
daarvan in 2012 en verder te kunnen realiseren.
Het e-commerce service bedrijf Docdata heeft de omzet en het aantal
verwerkte transacties substantieel zien stijgen in de eerste helft van
2011. Dit is voornamelijk het gevolg van het succes van onze klanten in
Nederland en Duitsland.
Het vaste personeelsbestand van de Groep is in de eerste helft van 2011
verder toegenomen van 813 medewerkers (759 FTE) aan het begin van het
jaar tot 1.047 medewerkers (1.011 FTE) aan het eind van het eerste
halfjaar van 2011.

E-commerce service bedrijf Docdata realiseerde wederom een sterke
stijging van het aantal unieke transacties; in het eerste halfjaar van
2011 werden 16,5 miljoen unieke transacties verwerkt ten opzichte van
12,7 miljoen in de eerste helft van 2010 (stijging: 30%). De
gecombineerde omzet van de e-commerce services is autonoom gestegen met
bijna EUR 15,5 miljoen (+59%); daarnaast is de omzet gestegen met nog
eens EUR 5,2 miljoen als gevolg van de activiteiten van de voormalige
Dohmen Solutions Groep, verworven per 16 april 2010, welke in het
eerste halfjaar van 2010 slechts 2,5 maand aan de omzet hebben
bijgedragen. De totale omzet van het ecommerce service bedrijf Docdata
is in totaal met EUR 17,9 miljoen (+50%) gestegen tot EUR 53,6 miljoen.
Voor 2011 ligt de focus op verdere groei van onze e-fulfilment
dienstverlening in bestaande markten, voornamelijk door de groei van
bestaande klanten. In oktober 2011 verwachten wij een gedeelte van het
nieuwe logistiek centrum in Waalwijk in gebruik te nemen, hetgeen
noodzakelijk is om de groei van onze klanten in het hoogseizoen te
kunnen faciliteren. Aan het einde van het eerste halfjaar van 2012
verwachten wij dat het logistiek centrum volledig operationeel zal zijn
met een vloeroppervlakte van ongeveer 30.000 m . Tevens zullen wij in
oktober 2011 een nieuwe hal van 10.000 m in Grobetabeeren (nabij
Berlijn) in gebruik nemen. Hiermee is de nieuwbouw in Grobetabeeren
afgerond en hebben wij daar een totale vloeroppervlakte van ongeveer
50.000 m in gebruik voor onze klanten.
De belangrijkste trend die voor Docdata op dit moment relevant is, ligt
op het vlak van 'crossborder' activiteiten binnen Europa van zowel
consumenten als aanbieders. Hiervoor hebben wij concepten ontwikkeld
waardoor wij zowel de uitgaande stroom van orders als de
retourzendingen efficiënt kunnen verwerken. Consumenten kunnen hierdoor
hun orders tijdig thuis ontvangen en retourzendingen kunnen snel worden
afgehandeld. Voor onze klanten zorgen wij er ook steeds meer voor dat
retourzendingen worden gecontroleerd en wederom geschikt worden gemaakt
voor verkoop. In de tweede helft van 2011 zullen wij tevens onderzoeken
of wij in andere (grote) geografische markten in Europa eigen
vestigingen moeten hebben om deze dienstverlening lokaal aan te bieden
of dit middels strategische partners gaan opzetten.
De huidige risico's voor het e-commerce service bedrijf liggen
voornamelijk op het vlak van de strategische keuze van klanten om
bepaalde diensten wel of niet bij externe leveranciers af te nemen. In
het geval dat een klant wordt overgenomen, vindt nagenoeg altijd een
heroverweging hiervan plaats met de mogelijkheid om hierdoor klanten te
verliezen. Vanwege de snelle ontwikkelingen in de ecommerce markt zijn
onze klanten in beginsel niet bereid om lange termijn contracten aan te
gaan. Het leveren van een zeer hoge kwaliteit van dienstverlening biedt
de beste bescherming tegen dit risico.
Technologiebedrijf IAI industrial systems heeft in het eerste halfjaar
van 2011 een omzet van EUR 5,4 miljoen gerealiseerd, die daarmee flink
achter bleef bij de omzet voor de vergelijkbare periode van het topjaar
2010 (eerste halfjaar 2010: EUR 10,3 miljoen). De belangrijkste oorzaak
was het lagere niveau van opdrachten, in lijn met eerder uitgesproken
verwachtingen. Het bedrijfsresultaat van IAI over het eerste halfjaar
2011 is hierdoor gedaald naar EUR 0,5 miljoen, waarbij moet worden
opgemerkt dat het bedrijfsresultaat van EUR 2,8 miljoen over het eerste
halfjaar van 2010 door één specifieke order uitzonderlijk hoog was. Het
orderboek van IAI omvat per eind juni 2011 orders met een omzetwaarde
van EUR 9,1 miljoen, welke voor het overgrote deel nog in 2011
uitgeleverd zullen worden (orderboek per 31 december 2010: EUR 8,4
miljoen). Daarnaast verwachten wij nog omzet uit service, royalties en
kleinere systemen.
IAI industrial systems heeft wereldwijd een goede reputatie weten op te
bouwen in de markt van het beveiligen en personaliseren van
waardedocumenten , in het bijzonder voor paspoorten, ID-kaarten,
bankbiljetten en overige documenten. Niet alleen voor de eindklanten
van deze producten (de overheden) streeft IAI na een betrouwbare
partner te zijn, maar ook voor de "integratoren" die in deze markt
actief zijn. Integratoren zijn partijen die omvangrijke
overheidsopdrachten verwerven en voor de realisatie daarvan, naast hun
eigen inbreng, ook apparatuur van IAI nodig hebben.
IAI besteedt veel aandacht aan een voortdurende verbetering en
uitbreiding van het productenpakket. Eén van de nieuwe
systeemontwikkelingen van het afgelopen jaar was de BMDesk, een klein
systeem waarmee handmatig een paspoort kan worden gepersonaliseerd.
Recentelijk hebben wij hiervoor een eerste order van meer dan 10
systemen gerealiseerd. Dit toont aan dat onze aangepaste strategie, het
proactief ontwikkelen van systemen waar de markt behoefte aan heeft,
zijn vruchten begint af te werpen. IAI heeft in de eerste helft van
2011 geïnvesteerd in research voor verschillende toepassingen en in
automatisering ten behoeve van het beheer van productgegevens om de
productie efficiënter te laten verlopen.
In de Solar markt biedt IAI productiesystemen voor zonnecellen of
-panelen aan. In het eerste halfjaar van 2011 werd een productiesysteem
aan Solland Solar geleverd. Dit unieke systeem kwam tot stand in nauwe
samenwerking met de opdrachtgever die behoefte had aan een nieuw
productiemiddel: een systeem dat soldeerverbindingen aan de achterzijde
van zonnecellen tot stand brengt door middel van laserenergie.
Dit nieuwe type zonnecel, de "back-contact" cel genaamd, wordt door
Solland Solar in hun Sunweb panelen verwerkt. In de Solar markt wordt
verwacht dat het back-contact type aan marktaandeel zal winnen, vandaar
dat IAI het ontwikkelde systeem ook aan andere partijen zal aanbieden.
IAI voert diverse onderzoeken uit met het doel om voor de Solar markt
tot nieuwe systeemontwikkelingen en -leveringen te komen. Daarbij richt
IAI zich bij voorkeur op projecten waarvoor een concrete behoefte in de
markt is en die in nauwe samenwerking met een klant gerealiseerd kunnen
worden.
Belangrijkste aspecten van het eerste halfjaar van 2011
De omzet van DOCDATA N.V. is in het eerste halfjaar van 2011 met EUR
13,0 miljoen gestegen tot EUR 59,0 miljoen (+28%). De omzet van IAI
industrial systems is, in lijn met eerder uitgesproken verwachtingen,
gedaald met EUR 4,9 miljoen (-/-48%) met name als gevolg van minder
afleveringen van systemen. Docdata heeft met de commerce, payments en
fulfilment services een omzetstijging gerealiseerd van EUR 20,7 miljoen
(+69%), waarvan EUR 15,5 miljoen als autonome omzetstijging
voornamelijk als gevolg van het met meer dan 30% ten opzichte van vorig
jaar gestegen transactievolume. De activiteiten van de voormalige
Dohmen Solutions Groep hebben in het eerste halfjaar van 2011 EUR 5,2
miljoen meer aan de omzet bijgedragen dan in het eerste halfjaar van
2010 (+40%), met name als gevolg van het feit dat deze activiteiten
vorig jaar na de acquisitie per 16 april 2010 slechts 2,5 maand hebben
bijgedragen aan de omzet. Tenslotte hebben de media
replicatieactiviteiten gezorgd voor een omzetdaling van EUR 2,7 miljoen
(-/-48%) als gevolg van de verkoop van alle aandelen in docdata media
GmbH per 21 juli 2010, in combinatie met een verdere teruggang van de
replicatieactiviteiten bij het enige op dit moment nog resterende
replicatiebedrijf van Docdata in Tilburg.
In het eerste halfjaar van 2011 is een hogere brutowinst behaald van
EUR 14,1 miljoen ten opzichte van EUR 12,7 miljoen in het eerste
halfjaar van 2010 (+11%). De brutowinstmarge over het eerste halfjaar
van 2011 is uitgekomen op 24,0% ten opzichte van 27,6% in het eerste
halfjaar van 2010, waarbij de brutowinstmarge voor beide 'lines of
business' is gedaald. Voor Docdata is deze beperkt lagere
brutowinstmarge vooral het gevolg van een hoger aandeel van doorbelaste
transportkosten en hogere kosten voor de inkoop van bedrijfskleding ten
behoeve van een klant. Bij IAI industrial systems is de daling van de
brutowinstmarge direct het gevolg van een andere omvang en
samenstelling van de afleveringen in beide vergelijkbare periodes,
waarbij in het eerste halfjaar van 2010 de uitlevering van het tweede
deel van de grote order voor decentrale personalisatiesystemen voor
Bulgarije werd gerealiseerd.
In het eerste halfjaar van 2011 is een bedrijfsresultaat voor
financieringsresultaat (EBIT) gerealiseerd van EUR 3,5 miljoen ten
opzichte van EUR 3,2 miljoen in het eerste halfjaar van 2010. Het
bedrijfsresultaat van het technologie bedrijf IAI industrial systems is
met EUR 2,3 miljoen gedaald, voornamelijk als gevolg van een lagere
omzet uit in het eerste halfjaar van 2011 afgeleverde systemen. Het
bedrijfsresultaat van het e-commerce service bedrijf Docdata is echter
fors gestegen met EUR 2,7 miljoen, waarbij in beschouwing moet worden
genomen dat in de EBIT voor het eerste halfjaar van 2010 eenmalige
kosten ten bedrage van EUR 1,3 miljoen waren verantwoord in de verkoop-
en beheerskosten voor acquisitie- en advieskosten, aanloopverliezen en
herstructureringskosten na acquisitie van de bedrijfsactiviteiten van
de voormalige Dohmen Solutions Groep. In het eerste halfjaar van 2011
is voor dit soort eenmalige kosten een bedrag van EUR 0,2 miljoen
verantwoord. Exclusief deze eenmalige kosten in beide vergelijkbare
periodes is de (gecorrigeerde) EBIT bijna verdubbeld van EUR 1,7
miljoen in het eerste halfjaar van 2010 tot EUR 3,3 miljoen in het
eerste halfjaar van 2011. Voor het tweede halfjaar van 2011 verwachten
wij nog eens een bedrag van ongeveer EUR 0,2 miljoen aan
herstructureringskosten voor deze bedrijfsactiviteiten.
De winst over het eerste halfjaar van 2011 is met EUR 2,5 miljoen
nagenoeg gelijk gebleven in vergelijking met het eerste halfjaar van
2010, als combinatie van een verbeterde EBIT met een
nettofinancieringsresultaat dat EUR 0,3 miljoen is verslechterd
(voornamelijk als gevolg van een valutakoersverlies op het Britse pond
in het eerste halfjaar van 2011 ten opzichte van een valutakoerswinst
in het eerste halfjaar van 2010) en een EUR 0,2 miljoen gestegen
belastinglast.
DOCDATA N.V. heeft haar financiële positie gedurende het eerste
halfjaar van 2011 versterkt, uitmondend in een solvabiliteitsratio van
58,2% per 30 juni 2011 (31 december 2010: 49,3%). In relatie tot de
liquiditeit van de onderneming heeft DOCDATA N.V. in het eerste
halfjaar van 2011 een kasstroom uit operationele activiteiten
gerealiseerd van EUR 1,9 miljoen. Daarnaast is in het eerste halfjaar
van 2011 voor EUR 1,4 miljoen aan contante geldmiddelen ontvangen als
gevolg van de uitoefening van aandelenopties, waardoor in totaal EUR
3,3 miljoen aan geldmiddelen beschikbaar is gekomen. In het eerste
halfjaar van 2011 heeft de Groep in totaal EUR 4,6 miljoen besteed,
waarin opgenomen een betaling van EUR 2,4 miljoen voor het dividend uit
de winst over 2010, investeringen voor EUR 1,8 miljoen in materiële
vaste activa (m.n. magazijninrichting in Waalwijk en Grobetabeeren) en
voor EUR 0,3 miljoen in immateriële activa (voornamelijk
IT-ontwikkelingskosten voor het betaalplatform en ontwikkelingskosten
voor nieuwe generatie beveiligingssystemen voor IAI). In totaal is
hierdoor het kasoverschot gedaald met EUR 1,3 miljoen tot EUR 4,5
miljoen per 30 juni 2011 (31 december 2010: EUR 5,8 miljoen).
Vooruitzichten
In 2011 zal de focus blijven liggen op groei, zowel autonoom als door
middel van overnames. Overnames zullen er vooral op gericht zijn om
onze positie in markten waarin we actief zijn verder te verstevigen.
De focus van het e-commerce service bedrijf Docdata is gelegen op de
verdere ontwikkeling van onze positie in de Benelux, Duitsland en het
Verenigd Koninkrijk. Daarnaast zullen wij in het tweede halfjaar van
2011 de mogelijkheden analyseren om in andere Europese markten actief
te worden. Op basis van onze huidige klantenbasis verwachten wij ook
voor het tweede halfjaar van 2011 een verdere groei, waarbij de winst
slechts in beperkte mate beïnvloed zal worden door incidentele
('non-recurring') kosten zoals dat in de afgelopen jaren 2009 en 2010
wel het geval was.
De focus voor het technologiebedrijf IAI industrial systems blijft
liggen op het wereldwijd binnenhalen van orders in bestaande en
specifiek gedefinieerde markten. Met het oog op het niveau van de
orderportefeuille van IAI industrial systems op 30 juni 2011, in
combinatie met de lange duur van de realisatieperiode vanaf het moment
van het verkrijgen van een order tot het moment van daadwerkelijke
aflevering en installatie van systemen bij de klant, verwachten wij ook
voor het hele jaar 2011 lagere omzet en resultaten voor IAI industrial
systems.
Strategie
Aangezien de huidige strategie 'Visie 2012: "Flywheel to Growth"' tot
2012 loopt, voert het management van DOCDATA N.V. op dit moment een
strategische studie uit samen met een externe partij. Alle strategische
opties worden hierin meegenomen en uitgebreid besproken. De uitkomst
zal als input dienen voor de strategische koers in de komende jaren en
wij verwachten tegen het einde van 2011 hierover nadere mededelingen te
kunnen doen.
Waarderingsgrondslagen
DOCDATA N.V. stelt de geconsolideerde jaarrekening op volgens de
International Financial Reporting Standards zoals aanvaard binnen de
Europese Unie (hierna genoemd IFRS). Voor een overzicht van de

- Total combined revenue of the Docdata e-commerce services
(commerce, payments and fulfilment) increased with EUR 20.7 million
(+69%), including a negative foreign exchange effect of EUR 0.1
million.
This combined revenue increased for EUR 15.5 million due to autonomous
growth (+59%), while the activities of the former Dohmen Solutions
Group, acquired per 16 April 2010, contributed EUR 5.2 million to this
revenue increase (revenue contribution 2.5 months in the half-year
ended
30 June 2010). Revenue of the media replication activities decreased
with EUR 2.7 million in total, of which EUR 2.3 million due to the sale
of all shares of docdata media GmbH on 21 July 2010; the other EUR 0.4
million of this decrease (-/-11%) was due to declining revenue from the
media replication activities in Tilburg.
- IAI industrial systems' revenue decreased EUR 4.9 million
(47.9%). The revenue for the half-year ended 30 June 2010 was much
higher due to the delivery of the second part of the Bulgarian order
(consisting of a number of decentralised personalisation systems). The
revenue in the half-year ended 30 June 2011 was for a large part
realised through the delivery, in accordance with IAI's planning, of
security systems for Algeria and Ireland.

- The gross profit of the e-commerce service company Docdata
increased with EUR 4.1 million (+47%). The combined gross profit of the
e-commerce services contributed EUR 12.1 million compared to EUR 7.6
million in the half-year ended 30 June 2010, representing an increase
of
59%, which is mainly the result of the growth in the number of
transactions in the Netherlands and Germany. The somewhat lower gross
profit margin is mainly caused by a higher revenue portion from
recharged transport costs and higher purchased goods for a corporate
fashion client.
- The gross profit of IAI industrial systems decreased with EUR
2.6 million (-/-63%) due to lower sales and a different sales mix
compared to the half-year ended 30 June 2010 (also causing the decrease
in gross profit margin). The systems' delivery of the second part of
the

- The operating profit of the e-commerce service company
Docdata increased with EUR 2.7 million, resulting from a EUR 4.1
million
higher gross profit and EUR 1.4 million higher selling and
administrative expenses. Following the acquisition of the activities
from the former Dohmen Solutions Group per 16 April 2010, restructuring
costs and start-up losses were recorded resulting in a nonrecurring
EBIT
loss for an amount of EUR 1.3 million in the half-year ended 30 June
2010 (recognised both under selling and administrative expenses). In
the
half-year ended 30 June 2011 further restructuring costs were recorded
for an amount of EUR 0.2 million. Excluding non-recurring expenses,
EBIT
has almost doubled from EUR 1.7 million to EUR 3.3 million in the
half-year ended 30 June 2011.
- The operating profit of IAI industrial systems decreased with
EUR 2.3 million. This decrease is the combined effect of a lower gross
profit of EUR 2.6 million and decreased selling and administrative
expenses of EUR 0.3 million. Selling and administrative expenses
decreased mainly as a result of a lower contribution to allocated
holding expenses, given the lower activity level.
Net financing income / (expenses)
Net financing expenses for the half-year ended 30 June 2011 amounted to
EUR 152 thousand compared to net financing income of EUR 130 thousand
for the half-year ended 30 June 2010. This decrease of EUR 0.3 million
is predominantly caused by the foreign currency exchange result in the
half-year ended 30 June 2011 (EUR 0.1 million loss) compared to the
half-year ended 30 June 2010 (EUR 0.2 million profit) related to the
British pound.
Income tax expense
DOCDATA's effective tax rate in the half-year ended 30 June 2011 was
27.1% with an income tax expense of EUR 0.9 million on a profit before
income tax of EUR 3.4 million. In the half-year ended 30 June 2010, the
profit before income tax amounted to EUR 3.3 million and the income tax
expense amounted to EUR 0.7 million (effective tax rate: 22.3%).
The income tax expense of EUR 0.9 million in the half-year ended 30
June 2011 is the combined result of the following tax treatments of the
results per country:
- In the Netherlands, income taxes are recorded at a corporate
income tax rate of 25.0% on the taxable income for the Dutch fiscal
entity as well as for the Dutch subsidiaries that are not part of this
fiscal entity (2010: 25.5%).
- In the United Kingdom, income taxes are recorded against a
corporate income tax rate of 27.0% (2010: 28.0%).
- In Germany, income taxes are recorded at a corporate income tax
rate of in general between 26% and around 30% on taxable income for the
German entities when and where applicable, depending on the actual
region in Germany of their legal seat (e.g. Berlin, Munich or Münster
region).
Liquidity and capital resources
The General Annual Meeting of Shareholders held on 15 June 2011
approved the proposal to distribute a dividend of EUR 0.35 per ordinary
share outstanding (excluding own shares held by the Company), which had
a decreasing impact of EUR 2.4 million on retained earnings within the
equity of the Company in the half-year ended 30 June 2011.
In the half-year ended 30 June 2011, the Group realised net cash from
operating activities of EUR 1.9 million. Furthermore, cash was received
from the exercise of share options in the amount of EUR 1.4 million,
resulting in a total cash-in of EUR 3.3 million for the half-year ended
30 June 2011. With these funds, the Group invested in the half-year
ended 30 June 2011 a total amount of EUR 4.6 million, containing EUR
2.4 million for payment of the 2010 dividend, EUR 1.8 million in
property, plant and equipment (mainly warehousing equipment in Waalwijk
and Grobetabeeren), and EUR 0.3 million in intangibles (IT development
costs for the payments platform and development costs by IAI for new
generation security systems). As a result, the net cash position of the
Group has decreased with EUR 1.3 million to EUR 4.5 million per 30 June
2011 (31 December 2010: EUR 5.8 million). Furthermore, the Group has
fully repaid in the half-year ended 30 June 2011 the EUR 4.0 million
credit facility drawn with Commerzbank AG in 2010 and has increased the
existing credit facility with Deutsche Bank Nederland N.V. from EUR 5.0
million to EUR 10.0 million.
In the half-year ended 30 June 2011 187,500 share options were
exercised from the 2006, 2007 and 2008 series at an average exercise
price of EUR 7.24 per share. The underlying shares have been delivered
by the Company from the shares in stock. The proceeds of EUR 1.4
million have been credited to equity ('Reserve for own shares'). Per 30
June 2011, the Company had 156,642 own shares in stock (2.24%), which
number is the same as the number of own shares currently owned by the
Company per 21 July 2011. Per 30 June 2011 a total number of 167,250
share options are outstanding; 79,500 share options of the 2008 series
(exercise price: EUR 6.83 per share) that are exercisable and
'in-the-money', and 87.750 share options of the 2009 series (exercise
price: EUR 6.38 per share) that will vest on 29 May 2012. Furthermore,
a total number of 70,539 Performance Shares are outstanding per 30 June
2011, which have been granted conditionally in 2010 (22,284 Performance
Shares; vesting date: 14 May 2013) and 2011 (48,255 Performance Shares;
vesting date: 17 June 2014).

6. Notes to the Consolidated Interim Financial Statements
6.1 Reporting entity
DOCDATA N.V. (referred to as "DOCDATA" or the "Company") is a company
domiciled in Waalwijk, the Netherlands. The consolidated interim
financial statements of DOCDATA N.V. as at and for the half-year ended
30 June 2011 comprise DOCDATA N.V. and its subsidiaries (together
referred to as the "Group") and the Group's interest in associates and
jointly controlled entities.
The consolidated financial statements of the Group as at and for the
year ended 31 December 2010 are available upon request from the
Company's registered office at Energieweg 2, 5145 NW in Waalwijk, the
Netherlands, or at the Company's corporate website,
http://www.docdatanv.com.
6.2 Statement of compliance
These consolidated interim financial statements have been prepared in
accordance with IAS 34 (Interim Financial Reporting). They do not
include all of the information required for full annual financial
statements, and should therefore be read in conjunction with the
consolidated financial statements of the Group as at and for the year
ended 31 December 2010.
6.3 Significant accounting policies
The consolidated financial statements of the Group are prepared in
accordance with the International Financial Reporting Standards as
adopted by the European Union ("IFRS"). The accounting policies applied
by the Group in these consolidated interim financial statements are the
same as those applied by the Group in its consolidated financial
statements as at and for the year ended 31 December 2010. For a summary
of the significant accounting policies under IFRS, please refer to the
Group's Annual Report for the financial year ended 31 December 2010.
6.4 Audit
The consolidated interim financial statements and the reconciliations
included in this report and its enclosures have not been audited by the
external auditors.
6.5 Management representations
In the opinion of the management, these consolidated interim financial
statements include all adjustments necessary for a fair presentation of
the financial position, operating results and cash flows of all
reporting periods herein. All such adjustments are of a normal
recurring nature, except for recorded non-recurring expenses related to
the acquisition of the former Dohmen Solutions business activities
(including acquisition costs, advisory fees, restructuring expenses,
etc.) recorded in the consolidated interim financial statements for the
half-year ended 30 June 2010.
The results of the operations for the half-year ended 30 June 2011 are
not necessarily indicative of the results for the entire financial year
ending 31 December 2011.
6.6 Consolidation
In the consolidated interim financial statements for the half-year
ended 30 June 2011 and the consolidated financial statements for the
year ended 31 December 2010, the following treatment has been applied
for the following incorporations:
- IAI excimer systems B.V.: per 1 April 2010, IAI industrial
systems B.V. has incorporated a new legal entity for a Dutch
subsidiary,
IAI excimer systems B.V. in Veldhoven. The balance sheet and income
statement of IAI excimer systems B.V. have been included in the DOCDATA
consolidation starting per the date of incorporation;
- Docdata Assets GmbH, Docdata e-Commerce Services GmbH, Docdata
Fashion Services GmbH: these three German subsidiaries, wholly owned by
docdata germany GmbH, have been incorporated (based on new shelf
companies, "Blitz GmbH") to provide the legal structure enabling the
asset purchase of the former Dohmen Solutions activities per 16 April
2010. The balance sheet and income statement of these three GmbH's have
been included in the DOCDATA consolidation starting per this date;
- Docdata media GmbH: all shares in this German subsidiary, wholly
owned by docdata germany GmbH and part of the e-commerce service
company
Docdata, were sold on 21 July 2010 to the German investment fund
Deutsche Unternehmensbeteiligungen GmbH (DUBAG) in Munich. The balance
sheet and income statement of docdata media GmbH were excluded from the
DOCDATA consolidation starting per this date. The media replication
activities of this German subsidiary were fully written off at fair
value by the Group per the end of the 2009 financial year. The
remaining
book value of these assets and liabilities are reported as assets and
liabilities classified as held for sale in the Group's Annual Report
for
the financial year ended 31 December 2009.

The book value of property, plant and equipment has increased with
nearly EUR 0.2 million in the half-year ended 30 June 2011 as a
combined result from capital expenditure for EUR 1.8 million and
depreciation charges for EUR 1.6 million. Capital expenditure in the
half-year ended 30 June 2011 is for EUR 1.5 million accounted for as
'under construction', which predominantly relates to the investment by
Docdata Fulfilment in the new state-of-the-art logistic centre in
Waalwijk, the Netherlands. Other capital expenditure for EUR 0.3
million mainly consists of further investments in fulfilment warehouses
in Germany. At 30 June 2011, extra capital expenditure was committed
for an amount of EUR 3.0 million in addition to the amount accounted
for 'under construction'.

The book value for intangible assets has decreased with EUR 0.4 million
during the half-year ended 30 June 2011, due to the following:
- capital expenditure in development costs by IAI industrial
systems (EUR 0.1 million) and IT platform of Docdata Payments (EUR 0.2
million in total);
- amortisation charges for customer contracts and IT platforms
(EUR 0.6 million in total);
- currency exchange loss (EUR 0.1 million) on the valuation of the
intangible assets with an original value in British pounds (i.e.
related
to the Braywood and Hitura acquisitions).

The book value of inventories increased EUR 0.9 million in the
half-year ended 30 June 2011, which was predominantly caused by an
inventory increase of finished goods (company clothing) for Docdata
Fashion Services GmbH due to purchases for orders in the second
half-year.
IAI industrial systems' order book developed in the half-year ended 30
June 2011 from EUR 8.4 million at 31 December 2010 to EUR 9.1 million
at 30 June 2011 resulting from systems' deliveries in the half-year
ended 30 June 2011 with revenue of EUR 3.2 million and new orders
booked with a total sales value of EUR 3.9 million.
